These Terms of Service govern your access to and use of Newtonian, including our websites, apps, integrations, and related services. By using Newtonian, you agree to these Terms.
1. Eligibility and Accounts
Newtonian is intended for businesses and their authorized team members. You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. Organization administrators are responsible for managing user access and permissions for their organization.
2. Use of Newtonian
You may use Newtonian only for lawful business purposes and in accordance with these Terms. You are responsible for the information you enter, upload, import, or transmit through Newtonian, including customer, lead, job, proposal, and integration data.
3. Acceptable Use
You may not:
- Use Newtonian in violation of any law, regulation, third-party right, or platform policy.
- Access or attempt to access data, accounts, systems, or organizations without authorization.
- Interfere with, disrupt, reverse engineer, scrape, overload, or compromise Newtonian or its infrastructure.
- Upload malicious code, unlawful content, deceptive content, or information you are not authorized to process.
- Use Newtonian to send unlawful communications or violate consent, telemarketing, advertising, privacy, or consumer protection rules.
4. Customer and Lead Data
Your organization owns and controls the customer, lead, job, and business records it submits to Newtonian. You grant Newtonian permission to process that information as needed to provide, secure, support, and improve the service. You represent that you have the rights, permissions, and notices needed to provide that information to Newtonian.
5. Meta, Facebook, and Third-Party Integrations
If you connect Meta, Facebook, Google, document, financing, webhook, or other third-party services, you authorize Newtonian to access and process information from those services as needed to provide the requested integration. You are responsible for maintaining required permissions, complying with the third-party service terms, and ensuring your use of imported data is lawful.
For Meta Lead Ads, you are responsible for connecting only Facebook Pages, ad accounts, campaigns, forms, and lead data that your organization is authorized to access. Newtonian uses Meta data only to provide the connected lead intake and workflow features.
6. Fees and Payment
If Newtonian offers paid plans or services, your organization is responsible for applicable fees, taxes, and payment obligations described in the applicable order, invoice, or subscription terms. We may suspend or limit access for unpaid amounts where permitted by law.
7. Intellectual Property
Newtonian and its software, design, workflows, interfaces, documentation, and related materials are owned by Newtonian or its licensors. Except for the limited right to use the service under these Terms, no rights are transferred to you. You retain ownership of your organization's data.
8. Privacy
Our Privacy Policy explains how we collect, use, share, retain, and protect information. By using Newtonian, you acknowledge the Privacy Policy.
9. Service Availability and Changes
We may update, improve, suspend, or discontinue parts of Newtonian from time to time. We work to keep Newtonian reliable, but we do not guarantee uninterrupted or error-free availability.
10. Disclaimers
Newtonian is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and error-free service. Estimates, calculations, proposals, financing outputs, rebate information, and workflow suggestions in Newtonian are informational and should be independently reviewed before use with customers.
11. Limitation of Liability
To the fullest extent permitted by law, Newtonian will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption. Our aggregate liability for claims related to Newtonian will not exceed the amount paid to Newtonian for the service giving rise to the claim in the twelve months before the event, or one hundred U.S. dollars if no amount was paid.
12. Indemnification
You agree to defend, indemnify, and hold Newtonian harmless from claims, damages, liabilities, losses, and expenses arising from your use of Newtonian, your data, your violation of these Terms, your violation of law, or your violation of third-party rights or platform terms.
13. Suspension and Termination
We may suspend or terminate access to Newtonian if we believe you violated these Terms, pose a security or legal risk, fail to pay required fees, or use the service in a way that could harm Newtonian, users, customers, or third parties. You may stop using Newtonian at any time.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, unless applicable law requires otherwise.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of Newtonian after an update means you accept the updated Terms.
